Articles of incorporation are the formation document a corporation files with the Secretary of State; an LLC files articles of organization. Amendments and restated articles change them later.

Foreign banks, registries and business partners ask for an apostilled certified copy to confirm that the company exists and who formed it, before opening an account, registering a branch or subsidiary, or signing a contract.

    A certified copy from the Secretary of State

    The apostille is placed on a copy certified by the Secretary of State, not on the copy in the company binder. We can order it for Missouri and Kansas companies.

    The documents the office asks for

    Some offices want the original articles only; others want every amendment, or a certificate of good standing as well.

  3. 03

    Company-signed documents, notarized

    Board resolutions and powers of attorney signed by an officer are notarized first, then apostilled.

    Other states and federal documents

    A company formed in another state, such as Delaware, gets its certified copy and apostille from that state. IRS letters and other federal records are authenticated by the U.S. Department of State.

Can I apostille the articles from our company records?

Not usually. The apostille goes on a certified copy issued by the Secretary of State. We can order it for Missouri and Kansas companies.

Are LLC articles of organization handled the same way?

Yes. The certified copy comes from the Secretary of State of the state where the LLC was formed, and that state apostilles it.

Do we also need a certificate of good standing?
